These terms govern your subscription to the CoderForTraders Private Toolbox, sold by Courtage Bernard Larouche Inc. (“we”, “us”), a Quebec, Canada company. By subscribing, you agree to them. Plain language on purpose — if anything is unclear, ask us through the support form before you buy.
1. What you’re buying
The Private Toolbox is a set of indicators and drawing tools for the NinjaTrader® 8 platform, delivered as a monthly software subscription. It is built for NinjaTrader® 8 and fully compatible with NT8. NinjaTrader® is a registered trademark of its owner; we are an independent developer.
2. Software, not advice
The Toolbox is software tooling only. It is not financial, investment, or trading advice, not a trading system, and not a managed account. Nothing we publish is a recommendation to buy or sell anything. Trading futures involves substantial risk of loss and is not suitable for every investor — see the Risk Disclosure on every page of this site. You are solely responsible for your trading decisions and results. We make no promise of profit or performance.
3. Price and billing
The subscription is USD $174.95 per month (the current price for a new subscription; if you subscribed at a different rate, that is your rate — see section 10) (plus any taxes required by law), charged to your payment card when you subscribe and then automatically at the start of each monthly billing period. Billing is handled by Zoho Billing with Stripe as the payment processor. AUTOMATIC RENEWAL: your subscription renews and your card is charged every month until you cancel.
4. Cancelling — no hoops
You can cancel anytime, yourself, in your customer portal — no phone call, no retention games. When you cancel, you are not charged again, and you keep full access until the end of the period you already paid for. Your license then simply expires.
5. Refunds
Because you keep access to the end of any paid period after cancelling, we do not refund partial months. If something went genuinely wrong with a charge (for example a billing error or a double charge), contact us through the support form and we’ll make it right.
6. Your license
The software is licensed, not sold. Your license is tied to the email address of your NinjaTrader® account and covers your own use. The full license terms are in the Software License Agreement, which is part of these terms. If your payments stop, your license runs to the end of the last paid period and then expires.
7. Delivery, support, and updates
You download the Toolbox from your customer portal after subscribing. Support is provided through the support form / help center on this site — one trader answering, usually within 1 business day. When a new version is released we notify you; updates are installed by you (they do not install themselves).
8. Fair use
Don’t share your portal access or license, resell or redistribute the tools, or try to copy, decompile, or extract the source code. We can suspend or end a subscription that abuses the service; if we ever end one for any other reason, we refund the unused portion of what you paid.
9. The usual legal protections
The service and software are provided “as is”. To the maximum extent permitted by law, we disclaim implied warranties and our total liability for any claim is capped at the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, and some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
10. Changes
We may update these terms; material changes are posted here with a new date, and continued subscription after a change means acceptance.
Your rate will not go up. Whatever the price is on the day you subscribe, that stays your rate for as long as your subscription stays active. We may change the price for new subscribers at any time — if it goes up, yours doesn't go with it. This is not a promotion or a founding-cohort offer: it applies to anyone who subscribes, at whatever price they started at.
It ends when your subscription ends — if you cancel, or if it lapses because payment stops. A failed or expired card does not end it on its own: while we retry the payment, and for 30 days after the end of your last paid period, your rate is still held for you. Start again inside that window and nothing changes. After it, a new subscription starts at the price current at that time, and that becomes the rate you keep.
Where a price is not held this way — a new subscription, or one starting again after that window — any change takes effect only with advance notice before the next renewal, never mid-period.
11. Governing law
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there, without depriving you of any consumer protections you are entitled to where you live.
