This agreement is between you and Courtage Bernard Larouche Inc. (“CBL”), Boucherville, Quebec, Canada. You accept it when you subscribe to the Private Toolbox and/or download the software from your customer portal. It works together with the Terms of Service.
1. License grant
While your subscription is active (or until the end of your last paid period), CBL grants you a limited, personal, non-transferable, non-sublicensable, non-exclusive license to install and use the Private Toolbox software with the NinjaTrader® 8 platform, for your own trading. The license is tied to the email address of your NinjaTrader® account — not to a specific computer. You may install it on the machines you personally use. Additional seats (for example a family member with their own NinjaTrader® account) require a separate seat under your subscription.
2. Subscription license — how it ends
This is a subscription license, not a purchase. If you cancel, or your payments stop, your license remains valid until the end of the period you paid for and then expires. When it expires, stop using the software and remove it from NinjaTrader® 8.
3. What you may not do
You may not: copy or redistribute the software; rent, lease, sell, share, or transfer it or your license; modify, translate, decompile, disassemble, or reverse engineer it, or attempt to extract its source code or algorithms (except to the extent applicable law expressly permits despite this clause); remove proprietary notices; or use it to build a competing product.
4. Ownership
The software, including all indicators, drawing tools, code, and documentation, is and remains the exclusive property of CBL, protected by Canadian, US, and international copyright law. No title passes to you.
5. Updates
CBL may release updated versions. Updates are made available through your customer portal with a notification; you install them manually. CBL may add, improve, or retire individual tools within the Toolbox over time.
6. No warranty
The software is provided “as is”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The software is analysis tooling only — it is not financial or trading advice and no trading outcome is promised. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
7. Limitation of liability
To the maximum extent permitted by law, CBL is not liable for indirect, incidental, special, or consequential damages, including trading losses or lost profits, and CBL’s total liability under this agreement is capped at the amount you paid for the subscription in the 12 months before the claim. This does not limit liability that cannot legally be limited.
8. Termination for breach
CBL may terminate this license if you materially breach it (for example, redistributing the software). On any termination you must remove the software. Sections 4, 6, and 7 survive.
9. Export
You confirm you are not prohibited from receiving Canadian or US software under applicable export or sanctions laws.
10. General
This agreement and the Terms of Service are the entire agreement about the software. If a provision is unenforceable it is reformed to the minimum extent needed. Governed by the laws of Quebec and the federal laws of Canada applicable there, without depriving you of mandatory consumer protections where you live.
